Terms and Conditions for Purchases on Soeco by Yllw Marketplace

General

These purchase terms and conditions (“Terms”) apply when companies, organizations, authorities, or municipalities (“Customer”) purchase, rent, or sell products via Soeco by Yllw Marketplace (“Soeco by Yllw”).

The platform is intended for businesses, organizations, authorities, and municipalities. Businesses and organizations must hold a valid F-tax certificate and provide a corporate registration number. Authorities and municipalities must provide an organization number at registration and when placing an order.

Agreements for purchases or sales are entered into between the Customer and Soeco Kontorsmöbler AB, reg. no. 556894-0562, Pumpvägen 1, 247 50 Dalby (hereinafter “Soeco by Yllw”).

Soeco by Yllw strives to keep all information on the platform correct and up to date. However, Soeco by Yllw reserves the right to correct obvious errors regarding prices, stock levels, product descriptions, or other information.

All intellectual property rights displayed on Soeco by Yllw’s website belong to Soeco by Yllw or its licensors. The content may not be copied, distributed, or used without prior written consent.

Agreement and Orders

To place an order, the Customer must accept these Terms and acknowledge the information regarding the processing of personal data.

When an order is placed, a purchase request is sent to Soeco by Yllw. Soeco by Yllw then contacts the Customer and provides a quotation including any shipping costs. For rental orders, a rental contract is sent to the Customer for approval before the order is confirmed.

Once the Customer confirms the quotation by email, the Customer will receive an order confirmation or a rental contract.

A binding agreement is deemed to be entered into only when the order confirmation or rental contract has been sent. The Customer must carefully review the confirmation and promptly report any inaccuracies.

The Customer may cancel an order until the order confirmation has been issued.

Prices and Payment

All prices are stated in SEK excluding VAT. Costs for shipping, assembly, or other additional services may apply.

Payment is made in advance against invoice with 15 days net payment terms, subject to approved credit check. Invoices are sent electronically to the registered email address. In case of late payment, interest and reminder fees will be charged in accordance with applicable law.

Delivery

Products are normally available for collection within 14 working days at one of Soeco by Yllw’s logistics partners. Delivery to the specified address will take place within the same timeframe.

If delivery is delayed, the Customer will be informed as soon as information is available. Soeco by Yllw is not liable for delays caused by circumstances beyond its control.

The risk of the product passes to the Customer upon receipt or collection.

Products are delivered in the condition stated in the advertisement. Bulky furniture may be delivered disassembled to facilitate transport. The Customer is responsible for checking the goods upon receipt. Any transport damage must be noted on the waybill and signed by both the recipient and the carrier. Damages discovered after unpacking must be reported within five calendar days of receipt.

Retention of Title

The product remains the property of Soeco by Yllw until full payment has been received.

Warranty

Customers who purchase or rent furniture from Soeco by Yllw Marketplace are covered by a 6-month warranty against structural or manufacturing defects. Products are sold in the condition in which they are presented and described. The warranty does not cover cosmetic wear or defects that are clearly indicated in the product description.

Personal Data

Both parties may process necessary contact details, such as names, email addresses, and phone numbers, for the purpose of administering the agreement. Each party is responsible for informing their employees of the applicable rules regarding the handling of personal data.

Soeco by Yllw is the data controller for its own processing of personal data. Data is stored only as long as necessary for the agreement or as required by applicable legislation. When data is no longer needed, it is deleted or anonymized. Data subjects have the right to access, rectification, or erasure in accordance with data protection legislation. Governing Law and Disputes

These Terms are governed by Swedish law. Any dispute between the parties shall primarily be resolved through negotiation. If no agreement is reached, the dispute shall be finally settled by arbitration in simplified proceedings.

Amendments

Soeco by Yllw reserves the right to amend these Terms at any time. The version applicable at the time of the order is the version published on Soeco by Yllw.

These Terms apply to agreements entered into from 1 September 2025.
